When establishing a company and drafting founders  agreements

Anyone founding a corporation with additional shareholders must properly arrange the agreements and relationships between the founders and foresee future scenarios and disputes that may develop, resolving them amicably before conflict arises. It's crucial to address legal issues critical to the company's initial activities, such as decision-making, funding, initial capital injection, separation mechanisms, profit distribution, and more.

Adv. Ron Gutman

Licensed in Israel and New York, specializing in mergers and acquisitions, investments, corporate law, high-tech, ongoing commercial and corporate representation, competition law and antitrust. Ron has extensive experience (since 2007) representing Israeli and foreign clients in various transactions, including diverse mergers and acquisitions, financing and investment transactions, and his extensive experience is a great advantage, to the various types of successful transactions he has led. In addition, Ron has extensive and diverse experience in competition law, which he combines with his corporate and commercial work in a way that helps find creative solutions for the benefit of the firm’s clients.

 

His education includes a bachelor’s degree (LL.B., Cum Laude, fifth in class) from the College of Management in law specializing in corporate and commercial law and a master’s degree (LL.M., on a full scholarship) from Fordham University in New York in law with a specialization in banking, corporate, and finance.
